ISP Edition Terms & Conditions
The WhosOn ISP Edition is a special version of WhosOn Installable that is licensed for use only by Hosting Companies, ISP's, ISV's,
Web Designers and Content Management providers. It runs on your
own servers and allows you to provide, and charge for, WhosOn
Hosted Services to your own customers.
The ISP Edition is sold on a monthly subscription basis (or outright purchase on
application). Each purchase
allows WhosOn to be installed on a single server. Each server can monitor any number
of websites. The only limitation is the processing power and bandwidth of the server
(an average server can handle 150-200 sites). You can purchase additional server licenses as your customer
base grows.
You must agree to the following terms & conditions and have the minumum requirements
to use the ISP Edition.
Minimum Hardware Specification
The dedicated server for your WhosOn ISP Edition must meet the
following minimum specification:
- Pentium 2Ghx
- 1Gb RAM
- 2Gb Hard disk space
- 2 Internet IP address
- Minimum 1mbit bandwidth
Running:
- Windows 2003/2008 Web or Standard Edition
- IIS 6/7
- SQL Server Express 2005/2008 or SQL Server 2005/2008
Note: The server must be dedicated to WhosOn and not be
running other processes
or hosting other services.
Installation Service
We can install WhosOn for you as part of your subscription.
For this we will need access to the PC via Remote Desktop.
Product Updates
You must keep your WhosOn Server
updated by checking for updates once per month.
WhosOn Client Distribution
You are free to distribute the WhosOn Operator Client program to your
customers. Any number of WhosOn Client setups can be installed.
Only the number of WhosOn Clients that are concurrently
connected to your WhosOn server are counted.
Billing
You are free to bill your customers for the
use of your WhosOn Services over any period you choose (monthly,
quarterly, yearly etc).
You can bundle the charges in with existing
products/subscriptions if you wish. You are free to charge
one-time 'setup fees'. Your invoices must not look as
they are from Parker Software.
White Label Option
We also offer a co-branding and full White Label versions for the ISP Edition. This
enables the 'WhosOn' name to be changed throughout the product
to a name of your choice. The product
name must not contain 'WhosOn', 'Parker Software' or any other trademark. We will create a special version of
the WhosOn Client setup program which will show your name throughout the application and help files. Link-backs in the
software and chat client will go to a URL of your choice. For co-branded
versions you must sell your service for the same prices as shown on this web
site. For full White Label versions you can set your own end-user pricing.
Minimum Subscription Period
The ISP edition has a minimum subscription period of 6
months.
Advertising Your Service
You may not use the keywords 'WhosOn' or 'Parker Software' (or derivatives) as keywords for any PPC
campaigns that you use to sell your live stats/chat services based on WhosOn. For the White Label option you may not use 'WhosOn' or 'Parker Software'
(or derivatives) in any marketing materials (including website).
Website Copy
You must write your own website text and not duplicate copy from our website. This
is to avoid search engine penalization for duplicate content. Your website
must not attempt to replicate this website in look and feel.
Full Time Support
Your business must be in a position to provide full time (normal office hours, 5 days per week) support to your customers. Your web site must show full contact information
(Business Name, Address, Telephone number & Email).
Termination
In the event that you terminate your subscription or fail to pay for the product,
or in the event that you cease trading, Parker Software reserves the right to contact
end users of your WhosOn server to offer them continued service of WhosOn directly
from us.
Use of the WhosOn ISP Edition indicates your acceptance of these terms.
